River Sleep Affiliate Program — Terms of Service

1. Program Overview

The River Sleep Affiliate Program (“Program”) allows approved participants (“Affiliates”) to earn commissions by referring new subscribers to the River Sleep mobile application and web platform (“Service”). The Program is operated by ACMG Wellness LLC (“Company,” “we,” “us,” or “our”).

By applying to or participating in the Program, you agree to be bound by these Terms of Service (“Terms”). We reserve the right to update these Terms at any time. Continued participation after changes constitutes acceptance of the updated Terms.

2. Eligibility and Enrollment

2.1.

To be eligible for the Program, you must: (a) be at least 18 years of age; (b) have an active website, blog, or social media presence with content relevant to parenting, children's wellness, sleep, or family health; (c) comply with all applicable laws, including the Federal Trade Commission's Endorsement Guides; and (d) submit a complete application and receive written approval from us.

2.2.

We review all applications manually and reserve the right to accept or reject any application at our sole discretion. Approval typically occurs within 48 hours of submission.

2.3.

Upon approval, you will receive:

• A unique promo code for tracking referrals
• Access to the Affiliate Dashboard at riversleep.app/affiliates/dashboard
• A complimentary 12-month premium subscription to River Sleep for personal use

3. Commission Structure

3.1.

Commission rates are determined by your current tier:

• Starter (0–9 lifetime conversions): 30% recurring on monthly subscriptions, 25% one-time on annual subscriptions
• Growth (10–24 lifetime conversions): 33% recurring on monthly, 28% one-time on annual
• Pro (25–49 lifetime conversions): 35% recurring on monthly, 30% one-time on annual
• Elite (50+ lifetime conversions): 40% recurring on monthly, 35% one-time on annual

3.2.

Recurring monthly commissions are paid for up to 12 billing cycles per referred subscriber. After 12 months, the commission for that subscriber ends regardless of their continued subscription.

3.3.

Annual subscription commissions are paid once at the time of the subscriber's purchase.

3.4.

Tier advancement is based on cumulative lifetime conversions and is recalculated automatically. We reserve the right to override tier placement at our discretion, including granting accelerated tier status to founding or strategic affiliates.

3.5.

Commission rates may be adjusted with 30 days' written notice. Existing commissions on active subscriptions are honored at the rate in effect at the time of the original conversion.

4. Attribution and Tracking

4.1.

All referrals are tracked exclusively through your unique promo code. Referrals made without the promo code cannot be attributed to you. We do not use cookie-based tracking, click tracking, or any third-party attribution system.

4.2.

A conversion is credited to you when a new subscriber enters your promo code and completes their first paid subscription (monthly or annual) through the River Sleep app (iOS, Android) or website.

4.3.

You may not use your own promo code for personal subscriptions or accounts controlled by you. Self-referrals will be detected, reversed, and may result in suspension or termination.

5. Payments

5.1.

Commissions are paid monthly, on or around the 15th of the month following the commission period. For example, commissions earned in January are paid around February 15th.

5.2.

The minimum payout threshold is $25.00 USD. Balances below this threshold roll over to the next payment period.

5.3.

Payments are processed via Stripe Connect. You are responsible for setting up and maintaining your Stripe Connect account through the Affiliate Dashboard. We are not responsible for payment delays caused by incomplete or inaccurate Stripe account information.

5.4.

You are solely responsible for all tax obligations arising from your participation in the Program. For U.S.-based affiliates earning $600 or more annually, Stripe will generate a 1099 form. We recommend consulting a tax professional regarding your specific obligations.

5.5.

Commissions on refunded subscriptions will be reversed. If a referred subscriber receives a refund within 30 days of purchase, the corresponding commission will be deducted from your balance or future earnings.

6. Promotional Guidelines

6.1.

You may promote River Sleep through your website, blog, social media accounts, email newsletters, podcasts, and direct recommendations to clients. All promotional content must be honest, accurate, and not misleading.

6.2.

You must NOT:

• Make false claims about River Sleep's features, efficacy, or results (e.g., “guaranteed to make your child fall asleep in 5 minutes”)
• Create content that targets children directly — all promotional content must be directed at parents and caregivers
• Bid on “River Sleep,” “RiverSleep,” or variations thereof as keywords in paid search advertising (Google Ads, Bing Ads, etc.)
• Distribute your promo code on coupon aggregation sites (e.g., RetailMeNot, Honey, Groupon)
• Send unsolicited bulk email (spam) promoting River Sleep
• Impersonate River Sleep or represent yourself as an employee or official representative of the Company
• Use River Sleep's name, logo, or brand assets in any way that implies an official endorsement beyond your affiliate relationship

6.3.

You retain full creative control over your promotional content, provided it complies with these Terms and applicable law.

7. FTC Disclosure Requirements

7.1.

You MUST clearly and conspicuously disclose your affiliate relationship with River Sleep in ALL content that includes your promo code or a recommendation of the Service. This is a legal requirement under the Federal Trade Commission's Endorsement Guides (16 CFR Part 255).

7.2.

Acceptable disclosure language includes: “Affiliate link — I earn a commission if you subscribe,” “#ad — I partner with River Sleep,” or “Paid partnership with River Sleep.” The phrase “commissionable link” alone is not sufficient.

7.3.

Disclosures must be placed before or immediately adjacent to your promo code or recommendation — not buried at the bottom of content, in a sidebar, or behind a “more” link. In video content, verbal disclosure must occur within the first 30 seconds and text disclosure must be visible on-screen for at least 3 seconds.

7.4.

Failure to disclose may result in suspension or termination, and you assume all legal liability for non-compliance with FTC regulations.

8. Intellectual Property

8.1.

We grant you a limited, non-exclusive, revocable license to use the River Sleep name and approved brand assets solely for the purpose of promoting the Service under this Program.

8.2.

You may not modify, alter, or create derivative works from River Sleep's logo, brand assets, or copyrighted content without prior written approval.

8.3.

All content you create to promote River Sleep remains your intellectual property. However, you grant us a non-exclusive license to reference, share, or feature your content in our own marketing materials (with attribution) unless you opt out in writing.

9. Term and Termination

9.1.

These Terms are effective upon your acceptance into the Program and continue until terminated by either party.

9.2.

You may terminate your participation at any time by contacting us at affiliate@riversleep.app. Earned but unpaid commissions above the $25 minimum threshold will be paid in the next scheduled payout.

9.3.

We may suspend or terminate your participation at any time for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or deceptive activity
• FTC non-compliance
• Brand-damaging content
• Inactivity exceeding 12 months with no conversions

9.4.

Upon termination, your promo code will be deactivated, your access to the Affiliate Dashboard will be revoked, and no further commissions will accrue. Commissions already confirmed and above the minimum threshold will be paid in the next scheduled payout.

10. Fraud and Abuse

10.1.

We actively monitor for fraudulent activity including but not limited to: self-referrals, fake accounts, incentivized sign-ups (paying people to subscribe using your code), and abnormally high redemption velocity.

10.2.

Your first 5 conversions are held for a 48-hour manual review period before commissions are confirmed. Subsequent conversions are auto-confirmed after 48 hours.

10.3.

We reserve the right to withhold, reverse, or forfeit commissions associated with suspected fraudulent activity, and to terminate your participation immediately without notice.

11. Limitation of Liability

11.1.

The Program is provided “as is.” We make no warranties regarding commission amounts, conversion rates, or program continuity.

11.2.

Our total liability to you under these Terms shall not exceed the total commissions actually paid to you in the 12 months preceding any claim.

11.3.

We are not liable for any indirect, incidental, or consequential damages arising from your participation in the Program.

12. General Provisions

12.1.

These Terms constitute the entire agreement between you and the Company regarding the Program.

12.2.

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions.

12.3.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
